Agilent Technologies has agreed to acquire digital pathology software provider Proscia for $240 million in cash at closing, plus up to $30 million tied to future performance milestones. Proscia serves more than 4,000 laboratories, hospitals and clinics, along with 16 of the world's 20 largest pharmaceutical companies. Agilent plans to combine its pathology instruments and reagents with software that connects slide scanners, laboratory information systems, image-analysis applications and AI tools. Proscia's platform has FDA 510(k) clearance for primary diagnosis. The acquisition builds on a distribution partnership established in September 2022. Closing is expected early in Agilent's fiscal year 2027, subject to customary conditions.
