Microsoft and OpenAI announced a sweeping overhaul of their partnership on Monday, dismantling key exclusivity and revenue-sharing provisions that had bound the two companies since 2019. The amended agreement transforms what had been the most consequential exclusive technology alliance in the commercial AI era into a looser, time-limited arrangement.

Under the new terms, Microsoft will no longer pay revenue share to OpenAI when customers access OpenAI models through Azure. OpenAI will continue paying a 20 percent revenue share to Microsoft through 2030, but that obligation is now subject to a total cap. Microsoft retains a non-exclusive license to OpenAI's intellectual property through 2032.

The most significant change is that OpenAI can now serve all of its products on any cloud provider, including Amazon Web Services and Google Cloud, ending the exclusivity that was a cornerstone of the original deal. The companies disclosed the changes simultaneously in blog posts.

The restructuring reflects shifting power dynamics between the two partners. When Microsoft first invested $1 billion in OpenAI in 2019, the arrangement rested on the assumption that OpenAI needed Microsoft more than the reverse. Monday's changes signal that the assumption no longer holds.
