Anthropic's governance structure will leave public shareholders with little control after its planned IPO, TechCrunch reported. Its seven founders jointly hold a special stock class that gives a majority of them 50.1% of shareholder voting power and lets them elect three board members.

A separate Long-Term Benefit Trust holds stock allowing it to elect and remove a majority of the board. For one designated trust director, the board's nominating committee can send certain appointment or removal disputes to an employee vote.

Founder control ends automatically when fewer than three founders remain; founders can also choose to end it ten years after the IPO. The trust can continue beyond founder control.
