Anthropic founders could donate most shares while retaining voting control

Anthropic founders could donate most shares while retaining voting control Image: Primary
Anthropic's IPO filing describes its seven founders' pledges to donate 80% of their personal equity as voluntary and revocable, Fortune reported in a story carried by Yahoo Finance. The planned governance structure would let founders give away 98% of their IPO holdings while remaining eligible to help direct a controlling share. The founders would collectively hold 50.1% of voting power on matters put to shareholders generally through their Founder LLC. Membership requires retaining at least 2% of the Class A shares each founder held at the IPO. A separate Long-Term Benefit Trust would have authority to appoint a majority of the board. The timing and recipients of the pledged donations remain uncertain.
