Anthropic's public IPO filing sets out a structure that would give an entity owned by its seven co-founders 50.1% of voting power on matters submitted to stockholders generally. The company would issue that entity a single Class F share immediately before the offering closes, Unite.AI reported.

The Long-Term Benefit Trust separately holds authority to elect and remove directors constituting a majority of the authorized board. Public Class A shares would carry one vote each, while strategic partners' Class N shares have no general voting rights.

The filing says Anthropic qualifies as a controlled company under Nasdaq rules. The share count and estimated offering price remain unset, and securities cannot be sold until the registration statement becomes effective.
