Polyrizon files F-1 to register 404,166 shares from September 2026 private placement

Polyrizon Ltd. filed an F-1 registration statement with the SEC on September 18, 2026, covering the resale of up to 404,166 ordinary shares by a selling shareholder. The shares consist of up to 70,833 issuable on exercise of September 2026 PIPE pre-funded warrants and up to 333,333 issuable on exercise of ordinary share warrants, both issued in a September 2026 private placement. Polyrizon said it will receive no proceeds from the resale and may receive about $4.0 million if warrants are exercised for cash.
