Sword Health has agreed to acquire Headspace in an all-cash transaction valued at roughly $300 million, with closing expected before the start of the fourth quarter of 2026.

The deal would bring Headspace's network of more than 15,000 clinicians into Sword's AI Care platform. Headspace serves more than 100 million users across 200 countries and is offered by more than 20,000 employers, according to the report. The transaction follows Headspace's 2021 merger with Ginger, when its valuation approached $3 billion.
