Knorex registers shares tied to potential $50 million equity line

Knorex filed an F-1 on September 21 registering up to 156,787,119 Class A ordinary shares associated with a March share-purchase agreement and related commitment fee. The company may receive up to $50 million in gross proceeds by selling shares to the three named investors, although the amount depends on how many shares it elects to sell and at what prices. Selling shareholders would receive proceeds from their subsequent resales. Registration does not require them to sell, and Knorex cannot use the facility until the registration statement becomes effective.
