Blockfusion merger parties revise earnout and CoreWeave warrant terms

Blue Acquisition and the other parties to its proposed combination with Blockfusion Digital Infrastructure signed a sixth amendment on September 21, according to a securities filing. It raises the maximum share earnout for certain Blockfusion stockholders to 15,000,000 shares, divided equally among three post-closing stock-price thresholds of $13.00, $15.00 and $17.00. The amendment also excludes a CoreWeave warrant from specified merger-share calculations and provides for its replacement with a warrant for 2,870,813 shares of the proposed public company at an initial $7.4643 exercise price. The combination still requires shareholder approval.
