Boxlight files to register resale of up to 47,112,385 shares

Education-technology supplier Boxlight filed a preliminary registration statement covering the resale of up to 47,112,385 common shares. The total includes shares tied to convertible preferred stock, a $15 million equity-purchase agreement and an inventory-finance obligation. Boxlight will receive no proceeds from selling stockholders' resales, but it may receive up to $15 million from future sales to Secure Net Capital. A second $2 million tranche of its preferred-stock financing is conditioned on the registration statement becoming effective.
