First Tracks Biotherapeutics filed a registration statement covering the proposed resale of up to 6,106,870 common shares by selling stockholders. The clinical-stage biotechnology company develops antibody therapies for autoimmune and inflammatory diseases. The shares were sold in a private placement that closed on October 19 at $32.75 per share. The filing fulfills a registration obligation agreed with those investors, who may sell at prevailing market prices or through privately negotiated transactions. First Tracks will receive no proceeds from the resales. The securities cannot be sold under the registration statement until it becomes effective.
