Amaze files to register share resales tied to $100 million equity line

Creator commerce platform Amaze Holdings filed an SEC registration statement on October 16 covering the resale of up to 50,000,000 shares tied to an equity financing agreement with C/M Capital Master Fund. The agreement, signed October 15, gives Amaze the conditional right to sell up to $100 million of newly issued shares over a 36-month term. Amaze would receive proceeds from its sales to the fund, rather than the fund's subsequent resales. Purchases depend on contractual conditions, including a previous business day closing share price of at least $0.01. The registration statement is not yet effective.
