Pasqal Holding SAS and Bleichroeder Acquisition Corp. II announced the public filing of their joint registration statement on Form F-4 with the U.S. Securities and Exchange Commission. The filing includes a preliminary proxy statement and prospectus for the proposed business combination announced on March 4, 2026. The registration statement has not been declared effective. Information in it is subject to change. Upon closing the combined company is expected to be named Pasqal Holding SA and listed on Nasdaq. The transaction values Pasqal at 2.0 billion dollars pre-money. It is expected to provide about 500 million dollars in gross proceeds assuming no redemptions and closing of the convertible financing. The deal is subject to shareholder approval and other customary conditions. Pasqal has seven quantum processing units in the field with three more in production. The units are manufactured at the company's two facilities. Pasqal offers a full stack solution including cloud access and software that integrates with classical computing for more than 40 clients and partners. The company was founded Since the announcement Pasqal deployed a 200-qubit quantum computer with Aramco in a standard data center in Saudi Arabia. It is the first quantum computer deployed in a standard data center for a purely commercial main-line business. Pasqal also announced a new CUDA-Q integration with NVIDIA and new research on solving differential equations using logical qubits on its neutral-atom platform.
