EigenQ issues $22,225,000 notes as SVAQ extends combination deadline

Silicon Valley Acquisition Corp., Merger Sub, and EigenQ amended their business combination agreement on September 17, 2026, extending the outside date from February 14, 2027 to June 30, 2027, subject to automatic monthly extensions with written consent. The same day, EigenQ issued an institutional investor a senior secured note with an original principal amount of $22,225,000 and a 10% original issue discount, plus warrants to buy 1,852,083 shares at $12.00. Additional notes of $22,225,000 and warrants for 1,852,084 shares are due immediately before closing, subject to conditions. The notes bear 8% cash or 10% paid-in-kind interest and mature six months after initial issuance unless converted or redeemed, with a 30% premium on original principal at maturity.
